Please read these Terms of Service ("Terms") carefully before using the Agrotunes platform, website, mobile applications, APIs, or any related services (collectively, the "Services") operated by Agrotunes (FZC), a Limited Liability Free Zone Company ("Agrotunes", "we", "us", or "our").
By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.
You must be at least 18 years old and legally capable of entering into binding contracts. By registering, you represent that all information you provide is accurate, current, and complete.
You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us immediately at info@agrotunes.com if you suspect unauthorized access.
If you register on behalf of a legal entity, you represent that you have authority to bind that entity to these Terms, and the entity is the "User" for purposes of this agreement.
Agrotunes offers multiple subscription tiers (Starter, Market, Grow, Advanced, Enterprise) as described on our Pricing page. Prices are listed in the local currency display excluding applicable VAT unless stated otherwise. EUR is the base reference currency.
Certain plans include a 30-day free trial. No credit card is required during the trial. At the end of the trial, your account moves to a restricted tier unless you activate a paid subscription.
Paid subscriptions are billed monthly or annually in advance. You authorize us to charge your payment method for the applicable subscription fee on each billing cycle. All payments are processed through our authorized payment processors.
You may cancel your subscription at any time from account settings. Cancellation takes effect at the end of the current billing period. We do not provide prorated refunds for unused portions, except where required by applicable law.
We may change subscription prices with 30 days' written notice. Continued use after the notice period constitutes acceptance of the new pricing.
You are responsible for all applicable taxes, levies, or duties imposed by taxing authorities in your jurisdiction. Where required, Agrotunes will add VAT to your invoices in accordance with EU VAT rules.
You agree not to use the Services to:
Farm Operators listing produce represent that all listings are accurate, produce complies with applicable food safety and agricultural regulations, and they hold any certifications claimed in their profile (e.g. organic, pesticide-free).
Buyers agree to pay for orders placed and accepted through the Marketplace and to comply with any agreed delivery or pickup terms.
Agrotunes facilitates transactions between Farm Operators and Buyers. We are not a party to the underlying transaction and do not guarantee produce quality, delivery, or fitness for purpose. Disputes are to be resolved between the parties, with Agrotunes providing reasonable assistance.
Listings for controlled substances, prohibited products, or produce with false quality or certification claims will result in immediate account suspension.
Where Buyers and Farm Operators enter into custom grow agreements through the Platform, both parties are bound by the agreed terms. Agrotunes provides the infrastructure but is not responsible for fulfillment.
The Platform, including all software, algorithms, designs, trademarks, and documentation, is owned by or licensed to Agrotunes and protected by applicable intellectual property laws. These Terms do not grant you any ownership of Agrotunes IP.
You retain ownership of all Content you submit. By submitting Content, you grant Agrotunes a non-exclusive, worldwide, royalty-free license to use, store, process, and display your Content solely to provide and improve the Services.
Agrotunes may use anonymized, aggregated, de-identified data derived from user activity to improve the Platform, develop features, and generate industry benchmarks. This data will not identify any individual User or farm.
Any feedback, suggestions, or ideas you provide regarding the Services may be used by Agrotunes freely without compensation or attribution.
Your use of the Services is governed by our Privacy Policy, incorporated into these Terms by reference. By using the Services, you consent to the collection, use, and processing of your personal data as described therein. Agrotunes processes personal data in accordance with the EU General Data Protection Regulation (GDPR) and, where applicable, the laws of the United Arab Emirates.
Both parties agree to keep confidential any non-public information received from the other party that is designated as confidential or that reasonably should be understood as such. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law or court order.
The Platform may integrate with third-party services (e.g. payment processors, sensor hardware APIs, mapping services). Your use of such services is subject to their own terms and privacy policies. Agrotunes is not responsible for the availability, accuracy, or reliability of third-party services.
We aim to maintain platform availability of 99.9% on a monthly basis (excluding scheduled maintenance). We reserve the right to perform scheduled maintenance, which we will announce in advance where reasonably possible. We are not liable for any downtime caused by events outside our reasonable control.
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. SENSOR DATA, RECOMMENDATIONS, AND YIELD PREDICTIONS ARE FOR INFORMATIONAL PURPOSES ONLY AND DO NOT CONSTITUTE AGRONOMIC, FINANCIAL, OR LEGAL ADVICE.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AGROTUNES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICES.
Our total cumulative liability for any claims under or related to these Terms shall not exceed the greater of (a) the total fees paid by you to Agrotunes in the 12 months preceding the claim, or (b) €100.
You agree to indemnify and hold harmless Agrotunes and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from your use of the Services, your Content, your violation of these Terms, or your violation of any third party's rights.
These Terms remain in effect while you use the Services. We may suspend or terminate your access if you materially breach these Terms, engage in fraudulent activity, or fail to pay subscription fees. Upon termination, your right to use the Services ceases immediately. Account data is retained for 30 days after termination before deletion, except where longer retention is required by law.
We may update these Terms at any time. We will notify you of material changes via email or in-platform notification at least 14 days before they take effect. Continued use after the effective date constitutes acceptance.
These Terms are governed by the laws of the United Arab Emirates and the Emirate of Sharjah. Disputes that cannot be resolved through good-faith negotiation shall be submitted to the exclusive jurisdiction of the competent courts in Sharjah, UAE, unless mandatory local consumer protection law requires otherwise. For consumers in the EU, you may also use the European Commission's Online Dispute Resolution platform at ec.europa.eu/consumers/odr.
